The establishment of a foreign branch is a common and now extremely popular practice, as it offers a number of competitive advantages to each company. This tactic is preferred either by foreign companies, which wish to carry out all or part of their activities in Greece, or by companies seeking to transfer their headquarters abroad, maintaining a branch in Greece.

Advantages of Maintaining a Foreign Branch in Greece

  • Zero EFKA contributions in Greece regardless of the level of income for both the legal representative and the owners of the company
  • Exemption from dividend distribution in Greece and possibility of repatriation of capital to the parent company abroad
  • Possibility to appoint as legal representative any person who has a Greek VAT number, without the company being affected by his previous business activity
  • Submit a consolidated balance sheet in the country where the business is legally established and ensure special treatment in taxation within borders
  • Routing of intra-community transactions through the company’s headquarters abroad and its branch in Greece with exemption from VAT
  • Co-configuration of cash reserves between the head office abroad and the branch in Greece jointly, resulting in easier movement of capital and greater flexibility in internal borrowing
  • The foreign branch has a Greek VAT number and is normally subject to the Tax Office of Sociétés.

In order to establish a branch, approval and registration in the General Commercial Registry (G.E.MI.) is required.

The approval of the establishment of a branch is followed by the payment of the annual subscription to the local Chamber of Commerce, the receipt of the company’s VAT number and the commencement of its activities.

The competent authority for approval of the establishment of a branch determines, according to the supporting documents submitted, to which Greek corporate form the form of a foreign company resembles and provides respectively establishment licenses either in the form of an LTD or an SA.

The branch is managed by the legal representative, who is appointed by the foreign company, notified to the competent local GEMI department and has the right to represent the branch.

The legal representative is liable like the member of the Board of Directors of an SA or the manager of an LTD.
